Additional Listing
The Company announces that, following the exercise of warrants to subscribe for ordinary shares, it has made an application pursuant to the authority granted on 5 August 2005 for the admission of 180,000 Ordinary Shares of 5 pence each to trading on AIM. Each new ordinary share will rank pari passu with existing ordinary shares. Following the admission, the total number of ordinary shares in issue will be 69,799,079.
It is expected that dealings in the said shares will commence on 20 July 2006.
Issue of Warrants
Northern also announces that the Board has approved the issue to staff and retained consultants of warrants to purchase 5p Ordinary Shares of the Company as follows:
Staff 250,000
Consultants 300,000
All the above warrants are exercisable at a subscription price of 137.50p per share, being the prevailing mid-market price at close of business on 13 July 2006. The warrants issued to staff are open to exercise until 30 June 2011, while the warrants issued to consultants are exercisable between 1 January 2008 and 30 June 2009.
All the above warrants have been issued as a continuation of the Board's policy of providing performance based incentives to staff and key consultants.
Notice to Shareholders
In recent days the Company has received a number of phone calls from existing shareholders who have been supposedly offered cheap shares in the Company from what would appear to be a non FSA registered and overseas based organisation which could have been interpreted as purporting to represent the Company and/or a director of the Company. Northern wishes to make it clear that neither the Company, nor its directors and staff have appointed, or would appoint, a non FSA registered company in relation to such a matter. The Company will next week be placing a notice to shareholders on this website concerning this matter.
